TIFF x Shangri-La Hotel Stay-at-Home Cinema Contest

(THE "CONTEST")

This Contest is open to all Canadian legal residents living in Canada (excluding residents of Quebec) and is governed by Canadian law.

1. CONTEST PERIOD:

The Contest begins on Wednesday, June 3, 2020 at 10am Eastern Daylight Time (EDT) and ends Wednesday, June 17, 2020 at 11:59pm EDT (the “Contest Period”).

2. ELIGIBILITY:

The Contest is open to all Canadian legal residents (excluding residents of Quebec) who are age of majority or older in their province or territory of residence at the date of entry. The Contest is not open to employees, representatives, or agents (and those with whom such persons are domiciled) of Toronto International Film Festival Inc. (“TIFF” or “Sponsor”), Shangri-La Group (“Shangri-La”), or Sponsor’s and Shangri-La’s respective parent companies, subsidiaries, affiliates, distributors, prize suppliers, and advertising/promotion agencies (collectively, the “Contest Parties”).

3. HOW TO ENTER:

No purchase necessary. To enter the Contest, during the Contest Period, visit https://forms.gle/1z2i4Z61LMBi5M21A. Fill out the required entry fields with your name and email address (“Entry”). An additional one (1) entry will be given to those who participate in TIFF Loyalty’s poster challenge (“Poster Challenge”) by submitting an original photo of a re-created film poster to loyalty@tiff.net as further detailed in the Member Newsletter. Entrants who have submitted the form and/or participated in the Poster Challenge during the Contest Period will be entered into a random draw at the end of the Contest Period for a chance to win a one (1) night stay at the Shangri-La Hotel Toronto (“Eligible Entry”).

There is a limit of one (1) Entry per person permitted via the form and one (1) Entry via the Poster Challenge during the Contest Period. For greater certainty, you can only use one (1) email address to enter the Contest. If it is discovered that you have attempted to: (i) submit more than one (1) Entry per method per person during the Contest Period; or (ii) use more than one (1) email address to enter the Contest, then (in the sole discretion of Sponsor) you may be disqualified from the Contest and all of your Entries may be voided. Your Entry will automatically be rejected if the entry form is not fully completed and/or is submitted outside the Contest Period. Use of any automated system to enter or participate in this Contest is prohibited and will automatically result in disqualification.

4. THE PRIZE AND APPROXIMATE RETAIL VALUE:

There will be one (1) Stay-at-Home Cinema Contest prize available to be won, consisting of a one (1)-night stay in an executive room at the Shangri-La Hotel Toronto (“Prize”). The total approximate retail value of the Prize is CAD$575.00. Blackout dates include Festival dates of the Toronto International Film Festival (September 10–20, 2020), New Years Eve (December 31, 2020), and the Prospectors & Developers Association of Canada annual conference (March 7–10, 2021). The Prize must be redeemed and used by December 30, 2021. Subject to availability; please confirm availability with reservations.SLTO@Shangri-La.com. Without limiting the generality of the foregoing, the following general conditions apply to the Prize: (i) the Prize must be accepted as awarded and is not transferable or convertible to cash (no substitutions except at Sponsor’s option); (ii) if the winner does not utilize any part(s) of the Prize, then any such part(s) not utilized will be forfeited in their entirety and nothing will be substituted in their place; (iii) Sponsor, and/or Shangri-La as applicable, reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Prize or any component thereof; and (b) substitute the Prize or a component thereof for any reason with a prize or a prize component of equal or greater value, including, without limitation but solely at Sponsor’s sole discretion, a cash award; (iv) by accepting the Prize, the winner agrees to waive all recourse against the Releasees (as defined below) if the Prize or a component thereof does not prove satisfactory, either in whole or in part. The Prize will only be awarded to the person whose full name and valid email address are associated with the winning account, and must match the name of the person checking in to Shangri-La.

5. RANDOM PRIZE DRAW AND WINNER SELECTION:

A random draw will be held on or about Thursday, June 18, 2020 (the “Draw Date”) in Toronto, Ontario, at approximately 12pm ET. One (1) entrant will be selected from all Eligible Entries. The odds of winning depend on the number of competing Eligible Entries received during the Contest Period.

Sponsor or its designated representative will make three (3) attempts to contact the selected entrant by email using the address associated with the selected entrant’s account within five (5) business days of the Draw Date. If the selected entrant cannot be contacted within three (3) attempts or five (5) business days of the Draw Date (whichever occurs first), or there is a return of any notification as undeliverable, then the selected entrant will be disqualified and Sponsor reserves the right, in its sole discretion, to randomly select an alternate eligible entrant from among the remaining Eligible Entries.

Before being declared a winner, the selected entrant will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid; and (b) sign and return within five (5) business days of notification Sponsor’s Declaration and Release form, which (among other things): (i) confirms compliance with these Official Contest Rules (the “Rules”); (ii) acknowledges acceptance of the Prize as awarded; (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors, and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, the selected entrant’s participation therein, and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction, and/or other use of the selected entrant’s name, address, voice, statements about the Contest, and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by Contest Parties in any manner whatsoever, including print, broadcast, or the internet. If the selected entrant: (a) fails to correctly answer the skill-testing question; and/or (b) fails to return the properly executed Contest documents within the specified time, then he/she/they will forfeit the Prize and Sponsor reserves the right, in its sole discretion, to randomly select an alternate eligible entrant from among the remaining Eligible Entries.

6. GENERAL CONDITIONS:

The Releasees make no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize furnished in connection with the Contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, THE PRIZE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE RELEASEES HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND/OR NON-INFRINGEMENT.

All Entries become the property of Sponsor. The Releasees assume no responsibility for lost, delayed, incomplete, incompatible, or misdirected Entries. This Contest is subject to all applicable federal, provincial, and municipal laws. The decisions of Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of Entries and/or entrants.

The Releasees will not be liable for any failure, error, or omission of the website during the Contest; for any technical malfunction or other problems relating to the telephone network or lines, computer online systems, servers, access providers, computer equipment, or software; for the failure of any entry to be received by Sponsor for any reason including, but not limited to, technical problems or traffic congestion on the internet or at any website; or for any combination of the above. Further, the Releasees will not be liable for any injury or damage to an entrant’s or any other person’s computer related to or resulting from participating or downloading any material in the Contest.

Entrants agree that the Releasees shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses, or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants’ acceptance, receipt, possession, and/or use or misuse of any prize.

All Entries are subject to verification. Sponsor reserves the right, in its sole discretion, to require proof of identity and/or eligibility (in a form acceptable to Sponsor) to participate in this Contest. Failure to provide such proof in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid Entry in this Contest will be Sponsor’s server machine(s).

Sponsor reserves the right to withdraw or amend this Contest (or to amend these Rules) in any way, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure, or any other cause beyond the reasonable control of Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. Sponsor reserves the right to cancel or suspend this Contest, or to amend these Rules without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind.

By entering this Contest, each entrant expressly consents (a) to Sponsor and Shangri-La, their agents and/or representatives, storing, sharing, and using the personal information submitted with his/her/their Entry for the purpose of administering the Contest; (b) to receive marketing and promotional information from the Contest Parties, unless the entrant indicates otherwise on the entry form and further agrees that use of such personal information by Sponsor shall be in accordance with Sponsor’s privacy policy (available at: www.tiff.net); and (C) to the application of the laws of Ontario and Canada, and to the jurisdiction of the courts of Ontario in the event of dispute.

Catherine O’Hara VIP Experience

This contest (the “Contest”) and these rules and regulations thereof (the “Rules”) are governed by the laws of Canada and the Province of Ontario.

1. CONTEST PERIOD:

The “Contest Period” begins on Wednesday, March 11, 2020 at 12am Eastern Time (ET) and ends on Tuesday, March 17, 2020 at 11:59pm ET.

2. ELIGIBILITY:

The Contest is open to all legal residents of Canada (excluding Quebec residents) who are the age of majority or older in their province or territory of residence as at the date of entry. The Contest is not open to employees, representatives or agents (and those with whom such persons are domiciled) of Toronto International Film Festival Inc. (“TIFF”).

3. HOW TO ENTER:

No purchase necessary. Individuals who donate $1 or more to Share Her Journey during the Contest Period will be automatically entered into the Contest. For information on how to donate, please visit tiff.net/2020Ohara.

To participate in the Contest without donating to Share Her Journey, you must complete all required fields on the entry ballot (the “Entry”) and submit your Entry as instructed at any time during the Contest Period.

Entries properly submitted during the Contest Period or in connection with a Share Her Journey donation of $1 or more (each such Entry, an “Eligible Entry”) will be included in a random draw (the “Draw”) following the expiration of the Contest Period for a chance to win one of two prizes, being the Prize and the Runner-Up Prize, described below.

There is a limit of one (1) Entry per person permitted during the Contest Period. For greater certainty, you can only use one (1) email address to enter the Contest. If it is discovered that you have attempted to: (i) submit more than one (1) Entry per person during the Contest Period; or (ii) use more than one (1) email address to enter the Contest; then (in the sole discretion of TIFF) you may be disqualified from the Contest and all of your Entries may be voided. 4. PRIZE AND RUNNER-UP PRIZE:

There will be one (1) Catherine O’Hara VIP Experience (the “Prize”) available to be won, consisting of the chance for the Winner (defined below) and a guest thereof to meet Catherine O’Hara on March 28, 2020; two (2) tickets to In Conversation With… Catherine O’Hara at 6:30pm on March 28, 2020; and two (2) tickets to For Your Consideration with Catherine O’Hara at 8:30pm on March 28, 2020. The total approximate retail value of the Prize is $1,000.00 CAD.

There will also be one (1) “Runner-Up Prize” available to be won by the Runner-Up (defined below), consisting of two (2) tickets to In Conversation With… Catherine O’Hara at 6:30pm on March 28, 2020, and two (2) tickets to For Your Consideration with Catherine O’Hara at 8:30pm on March 28, 2020. The total approximate retail value of the Runner-Up Prize is $127.50 CAD.

Without limiting the generality of the foregoing, the following conditions apply to the Prize and Runner-Up Prize: (i) each of the Prize and Runner-Up Prize must be accepted as awarded and may not be transferred or converted in any respect by the Winner or Runner-Up, as applicable; (ii) any component(s) of the Prize or Runner-Up Prize not accepted and utilized by the Winner or Runner-Up, as applicable, shall be forfeited in their entirety without substitution; (iii) TIFF reserves the right to, in its sole discretion and at any time: (a) place reasonable restrictions on the availability or use of the Prize and/or Runner-Up Prize or any component thereof; and/or (b) substitute the Prize and/or Runner-Up Prize or any component thereof for any reason with any prize or prize component of equal or greater monetary value thereto; and (iv) by accepting the Prize and Runner-Up Prize, the Winner and Runner-Up, as applicable, agree to waive all recourse against the Releasees (defined below) if the Prize or Runner-Up Prize, or a component thereof, as applicable, does not prove satisfactory, either in whole or in part. The Prize and Runner-Up Prize will only be awarded to the persons whose full names and valid email addresses are associated with the Entries selected in accordance with the terms of these Rules.

5. DRAW AND WINNER SELECTION:

The Draw will be held on Thursday, March 19, 2020 (the “Draw Date”) at TIFF’s Toronto office located at 350 King Street West, Toronto, Ontario, at approximately 10am ET. One (1) Eligible Entry will be selected from the pool of Eligible Entries to receive the Prize, and one (1) Eligible Entry will be selected from the pool of Eligible Entries to receive the Runner-Up Prize. The odds of selection in either case depend on the number of competing Eligible Entries received by TIFF.

Within three (3) business days of the Draw Date, TIFF, or a designated representative thereof, will make three (3) attempts to contact the entrant associated with the Eligible Entry selected for the Prize (the “Winner”), and three (3) attempts to contact the entrant associated with the Eligible Entry selected for the Runner-Up Prize (the “Runner-Up”), by email using the addresses provided on such Entries. If the Winner or Runner-Up cannot be contacted within three (3) attempts or three (3) business days of the Draw Date (whichever occurs first), or if there is a return of any notification as undeliverable, then such Winner or Runner-Up, as applicable, will be disqualified from the Contest, and TIFF reserves the right, in its sole discretion, to randomly select an alternate eligible entrant as Winner or Runner-Up, as applicable, from among the remaining Eligible Entries.

If the Winner and/or Runner-Up, as applicable, fails to correctly answer the skill-testing question or fails to return any properly executed Contest documents within the specified time, then he/she/they will forfeit the Prize or Runner-Up Prize, as applicable, and TIFF reserves the right, in its sole discretion, to randomly select an alternate eligible entrant as Winner and/or Runner-Up, as applicable, from among the remaining Eligible Entries.

TIFF Best of the Decade Contest

(THE "CONTEST")

This contest is open to Canadian residents (excluding Quebec residents) and is governed by Canadian law.

1. CONTEST PERIOD:

Contest begins on Friday, January 17, 2020 at 10am Eastern Time (ET) and ends on Wednesday, March 11, 2020 at 11:59:59pm ET (the “Contest Period”).

2. ELIGIBILITY:

Contest is open to all legal residents of Canada (excluding Quebec) who have reached the age of majority in their province/territory of residence at the time of entry, except employees, representatives or agents (and those with whom such persons are domiciled) of Toronto International Film Festival Inc. (the “Sponsor”), its parent companies, subsidiaries, distributors, prize suppliers and advertising/promotion agencies (collectively, the “Contest Parties”).

3. HOW TO ENTER:

NO PURCHASE NECESSARY. To enter, fully complete the voting form at tiff.net/voteforthebest (the “Website”), which requires you to enter your full name, valid email address, and selection. Once you have fully completed the voting form, click the “submit” button to complete your entry (the “Entry”). To be eligible, your Entry must be received within the Contest Period. All eligible Entries received during the Contest Period will be entered into the random prize draw (see Rule 5).

There is a limit of one (1) Entry per person/email address permitted during the Contest Period. For greater certainty, you can only use one (1) email address to enter the Contest. There will be one (1) prize available to be won, consisting of two (2) tickets to a Gala Presentation film at the 2020 Toronto International Film Festival, valued at approximately $150 (the “Prize”). The Prize must be accepted as awarded and is not transferable. No substitutions. The Sponsor reserves the right, in its sole discretion, to substitute the Prize or a component thereof with a prize of equal or greater value. The Prize will only be awarded to the person whose full name and valid email address appears on the official Contest entry form.

On Wednesday, March 18, 2020 (the “Draw Date”) in Toronto, ON at approximately 2pm ET, one (1) eligible entrant will be selected by random draw from among all eligible Entries received during the Contest Period. The odds of winning depend on the number of eligible Entries received during the Contest Period.

The Sponsor or its designated representative will make three (3) attempts to contact the selected entrant by email (using the information provided at the time of entry) within ten (10) business days of the Draw Date. If the selected entrant cannot be contacted within three (3) attempts or ten (10) business days of the Draw Date (whichever occurs first), or there is a return of any notification as undeliverable; then the selected entrant will be disqualified and the Sponsor reserves the right, in its sole discretion, to randomly select an alternate eligible entrant from among the remaining eligible Entries.

BEFORE BEING DECLARED A WINNER, the selected entrant will be required to: (a) correctly answer a mathematical skill-testing question without mechanical or other aid; and (b) sign and return within ten (10) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Official Contest Rules (the “Rules”); (ii) acknowledges acceptance of the Prize as awarded; (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, the selected entrant’s participation therein and/or the awarding and use/misuse of the Prize or any portion thereof; and (iv) agrees to the publication, reproduction and/or other use of the selected entrant’s name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by the Sponsor in any manner whatsoever, including print, broadcast or the internet. 7. INTELLECTUAL PROPERTY

All intellectual property, including, without limitation, all trade-marks, trade names, logos, designs, promotional materials, web pages, source code, drawings, illustrations, slogans and representations are owned by the Sponsor and/or its affiliates. All rights are reserved. Unauthorized copying or use of any copyrighted material or intellectual property without the express written consent of its owner is strictly prohibited.
