Accreditation Pass Terms & Conditions

The following terms and conditions (the “Terms and Conditions”) form a binding agreement (“Agreement”) between you and Toronto International Film Festival Inc. (“TIFF”), and governs the access to, purchase, and use of TIFF accreditation passes in connection with TIFF: The Market (the “Pass”) occurring during the Toronto International Film Festival (the “Festival”). Your purchase and/or use of the Pass indicates your acceptance of these Terms and Conditions and your agreement to be bound by them. Any references to monetary amounts in this Agreement, unless otherwise specified, are in Canadian dollars.

For the purposes of these Terms and Conditions, “TIFF Delegates” shall mean the individual or entity recorded in TIFF’s records as the purchaser and/or holder of the Pass.

References to “you” and “your” in these Terms and Conditions apply to you and any individual or entity to whom you transfer the Pass, if permitted under these Terms and Conditions. You must inform any such individual or entity of these Terms and Conditions and ensure their agreement to these Terms and Conditions before they can use the Pass.

1. Final Sale and Non-Transferability

All Passes and any tickets, accreditation, and associated privileges and benefits in association therewith are final, specific to the approved TIFF Delegate, and strictly non-transferable or shareable, except where indicated otherwise herein and/or as expressly authorized by TIFF in its sole discretion. No refunds, exchanges, substitutions, sharing, resale, or assignment of any of the foregoing shall be permitted except as expressly authorized by TIFF in its sole discretion.

TIFF reserves the right to correct errors, omissions, or inaccuracies relating to pricing, availability, or other information, including after an order for a Pass has been submitted or confirmed.

Where Passes or tickets are issued in error, including without limitation due to incorrect pricing, system malfunction, or unintended issuance of complimentary access, TIFF reserves the right to cancel such Pass or tickets and issue a refund or offer the option to repurchase at the correct price.

Notwithstanding anything contained herein, upon contacting registration@tiff.net, (i) a TIFF Delegate may transfer a Pass to another individual within the same company as such TIFF Delegate prior to the first official date of TIFF: The Market (the “Market”); and, (ii) a TIFF Delegate holding a Pronto Pass may transfer such Pass to a TIFF Delegate that is within the same company as such TIFF Delegate and who also holds a Market or Market+ Pass. In TIFF’s sole discretion, any Pass transfers permitted hereunder may be subject to a Pass transfer fee determined by TIFF in its sole discretion.

2. Ticket Use, Allocation, and Return

Tickets issued and obtained through a Pass are intended solely for the personal use of the TIFF Delegate.

Unused tickets must be returned no later than 48 hours prior to the scheduled screening or event. In TIFF’s sole discretion, Pass holders with unused tickets may be subject to a fee determined by TIFF in its sole discretion. TIFF may review ticket usage following the Festival and reserves the right, in its sole discretion, to deny future registration, accreditation, or Pass access based on such review.

Tickets may not be used or resold as prizes, contest giveaways, or for fundraising, promotional, or advertising purposes without TIFF’s prior written consent. Unauthorized use or resale will render such tickets invalid.

Tickets and invitations are non-refundable, non-transferable, and cannot be exchanged. All tickets are valid only for the event for which they are issued, and cannot be replaced or reprinted if lost or stolen. All tickets are subject to TIFF’s general ticket conditions and policies, which are subject to change from time-to-time. Invitations to events are only available if they happen as planned; no make-good benefit will be available for canceled events.

3. Lost or Misplaced Passes

In TIFF’s sole discretion, lost, stolen, or misplaced Passes may be subject to a replacement fee determined by TIFF in its sole discretion.

4. Accuracy of Information and Misrepresentation

You represent and warrant that all information provided to TIFF is true, accurate, and complete. TIFF reserves the right to verify such information at any time.

Where information is determined to be false, misleading, or incomplete, TIFF may revoke any Pass, tickets, accreditation, and/or associated privileges or benefits without refund and may deny participation in current or future TIFF events or festivals in its sole discretion.

5. Pass Ownership

All Passes and accreditations remain the property of TIFF and must be surrendered immediately upon request.

TIFF reserves the right to decline, modify, and/or revoke Passes, tickets, accreditation, and/or associated privileges and benefits in association therewith in its sole discretion, for any reason and at any time. Previous accreditation does not guarantee future accreditation.

Only one (1) pass may be held at any given time by an individual or entity, with such pass selected by the individual or entity. TIFF reserves the right, in its sole discretion, to impose a fee and/or revoke any passes, tickets, accreditation, and associated privileges or benefits, determined by TIFF in its sole discretion, held by any individual or entity found to be in possession of more than one (1) pass at a time.

6. Availability of Pass Benefits

Benefits, privileges, access levels, ticketing opportunities, Market screening access, and services associated with accreditation and the Pass are subject to change at any time in TIFF’s sole discretion and are determined by TIFF in its sole discretion.

Access to Festival screenings and events is limited and subject to availability, capacity, and operational requirements. Ticket access opportunities are generally allocated on a first-come, first-served basis, unless otherwise specified.

Access to Market screenings, events, and industry presentations is also limited and may be subject to capacity restrictions, priority access protocols, or other procedures determined by TIFF or participating rights holders. Admission is not guaranteed.

Screenings, schedules, and events are subject to change without notice. TIFF reserves the right to change an event or screening, including its date, time, and venue, pricing of tickets in connection therewith, as well as a ticket holder’s seating location in its sole discretion and without notice.

7. Online Platforms

Access to online ticketing, digital screenings, or other benefits provided through third-party platforms (including Ticketmaster) may be subject to restrictions based on the country, region, or jurisdiction of the TIFF Delegate. Not all countries, regions, or jurisdictions are eligible for access to such platforms and/or all elements in connection therewith, and TIFF is not responsible for restrictions, limitations, or denials imposed by such platforms and/or jurisdictions. Delegates are responsible for ensuring they comply with all platform-specific access requirements.

8. Admission Requirements

Admission to Festival and/or Market screenings and events requires presentation of a valid ticket, invitation, or Pass, as applicable, as well as compliance with venue policies. Possession of a Pass alone does not guarantee entry or seating.

Please note that a Pass and accreditation does not guarantee you access to any particular area, location, venue, event, or individual(s) (including talent).

9. Verification of Identity and Eligibility

TIFF may require proof of identity and/or age in a form acceptable to TIFF at any time. Failure to provide acceptable proof may result in suspension, termination, or revocation of any benefits without refund.

10. Personal Use of Accreditation

Accreditation is personal to the approved TIFF Delegate. TIFF Delegates may not manage or act on behalf of another individual’s accreditation or account without prior written approval from TIFF.

11. TIFF Delegate Information

Pass registration information may be reproduced or published in delegate listings made available to Market participants. TIFF is not responsible for errors or omissions in such listings or for any claims, damages, expenses, or losses arising from the publication of this information, including for any errors in the published information.

12. Payment and Transactions

All Pass purchases are final, non-refundable, and non-transferable. TIFF shall not be liable for any claims, damages, expenses, or losses arising from transaction processing errors.

13. Media & Communications

You are responsible for ensuring receipt of TIFF communications, including by adding registration@tiff.net (Market) and proffice@tiff.net (Press and Media) to your safe sender list. TIFF is not responsible for missed communications due to spam filtering or delivery issues.

Unsubscribing from TIFF communications may result in missed updates relating to accreditation or event participation.

TIFF reserves the right to film or record its events and activities for its own purposes. By the use of a Pass, TIFF Delegates agree to being photographed, filmed or recorded in Market venues and/or associated and surrounding areas, and to the publication, reproduction, sale, license, distribution broadcast and other use of all photographs, video or other recordings of the TIFF Delegate’s voice or likeness, without further notice or compensation, for any purpose in any manner and in all media, now known or hereafter devised, in perpetuity. Furthermore, the TIFF Delegate hereby releases TIFF from any and all claims and demands arising out of or in connection with any and all claims for invasion of privacy, infringement of their right of publicity, personality, defamation and any other personal and/or property rights.

Bags are subject to inspection at TIFF’s sole discretion. All media requests to shoot onstage activity must be pre-approved by the TIFF Communications Department.

14. Code of Conduct

Each TIFF Delegate shall comply with TIFF’s Code of Conduct. TIFF reserves the right, in its sole discretion, to refuse admission, expel from the premises and/or events, and/or seize or cancel or revoke a Pass, any tickets, accreditation and/or associated privileges and benefits, in each case without refund, any person who violates these Terms and Conditions or whose conduct is deemed objectionable, in TIFF’s sole discretion. Objectionable behaviour includes, but is not limited to, disorderly conduct, disruptive behaviour, physical or verbal abuse or mistreatment of any kind toward TIFF staff and/or volunteers, and persistent disregard of TIFF’s policies and Code of Conduct found online at https://www.tiff.net/code-of-conduct/.

15. Limitation of Liability

By use and/or possession of a Pass, you indemnify, defend, release, and hold harmless TIFF and its licensees, successors, and assigns, and its and their directors, officers, employees, lawyers, agents, contractors, representatives, associates and volunteers (collectively, the “Releasee(s)”) from and against any and all claims, actions, liabilities, loss, costs, and expenses (including legal fees), damages, settlements, penalties or other proceedings (collectively, the “Claims”) brought against a Releasee and from any Claims which it may have suffered or incurred, or may suffer or incur, directly or indirectly based on, in connection with, or arising out of, directly or indirectly, the issuance by TIFF to you of a Pass, revocation, modification, or denial of a Pass or any tickets, accreditation, and associated privileges or benefits, use of TIFF Delegate information, or inability of you to access any venue, area, location, event, or individual(s) (including talent) in connection with the Festival and/or the Market. You further agree not to bring any claim, demand, action or other proceeding against the Releasees. You agree to indemnify, defend, release, and hold harmless the Releasees from and against any Claims as a result of your breach by you of these Terms and Conditions, the negligent or wilful misconduct of you or any agent, employee, or independent contractor acting on your behalf, and the loss, damage, injury, liability, or expense the aforementioned may suffer arising from or connected to your presence at the Market, the Festival, the TIFF Lightbox, or any other venue or any event or activity in connection therewith, due to any reason whatsoever, including those arising from or connected to personal injury, property loss/damage, invasion of privacy, defamation, or death, including, without limitation, any claims alleging facts that, if true, would constitute a breach by you of these Terms and Conditions.

16. Changes to the Terms and Conditions

TIFF may change these Terms and Conditions at any time without advance notice. Changed terms will then become effective once posted on the TIFF website. Where required by law, notice of change to these Terms and Conditions will be provided at least 30 days before the change comes into effect. Such notice will set out the new or modified terms, the previous version of the terms, and the effective date of the change. In the event that you do not agree with the changes to the Terms and Conditions, and/or the change results in increased obligations by you or a reduction of obligations on TIFF, your sole option is to terminate your account and/or Pass. Placing a ticket order or purchasing a Pass after any changes are in effect shall mean that you have accepted the changed Terms and Conditions.

17. Entire Agreement

These Terms and Conditions and any other legal notices, policies, and guidelines of TIFF linked to or referenced in these Terms and Conditions constitute the entire Agreement between you and TIFF relating to your purchase and use of the Pass, and supersedes any prior understandings or agreements (whether oral or written), claims, representations, and understandings of the parties regarding such subject matter. This Agreement may not be amended or modified except by TIFF making such amendments or modifications available on its website.

18. Governing Law

This Agreement will be governed by the laws of the Province of Ontario and the federal laws of Canada, and shall be treated in all respects as an Ontario contract, without reference to the principles of conflicts of law. In the event of a dispute, you and TIFF agree to submit to the exclusive jurisdiction of the Ontario courts. You and TIFF expressly exclude the UN Convention on Contracts for the International Sale of Goods, and the International Sale of Goods Act (Ontario) as amended, replaced, or re-enacted from time to time. TIFF has required that this Agreement and all documents relating thereto be drawn-up in English. 19. Severability

Any provision of this Agreement which is prohibited or unenforceable in any jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such prohibition or unenforceability and shall otherwise be enforced to the maximum extent permitted by law, all without affecting the remaining provisions of this Agreement or affecting the validity or enforceability of such provision in any other jurisdiction.

20. Enurement

This Agreement shall enure to the benefit of and be binding upon you and TIFF and each party’s respective successors and permitted assigns. You acknowledge having read this Agreement before accepting it, having the authority to accept this Agreement, and having received a copy of this Agreement.
